RICHARD M. HULL

I. Summary

Professional Background

Richard M. Hull is well known in business, financial and legal circles.  His track record for creativity and success in business reorganizations (turnaround, receivership and work out projects) make him a sought after professional in managing this type of operation in the Southwest.  Mr. Hull is an attorney who has extensively practiced corporate—securities—financial law in New York and Dallas.

Professional Accomplishments

            Mr. Hull’s professional accomplishments include:

The LBJ Company (Austin, Texas) – founded in 1944 by the late President Lyndon B. Johnson and his wife, Lady Bird and owned interests in communication (cable, television and radio), real estate and banking.  In the 1990’s the company’s finances were adversely impacted by simultaneous recessions in all three industries.  Asset valuations were floundering.

Mr. Hull was called upon to assume operating control of the company and direct a restructuring.  He served as the CEO of this company for three years.  During that time, the company’s business lines were reorganized and it was placed on a sound financial foundation for future growth.

Today, LBJ Asset Management Partners is the product of this success, and Mr. Hull continues to serve on its Board of Advisors.

Medical Arts Clinical Association (Corsicana, Texas) – a historic, 50-year-old medical clinic located in Navarro County and is the primary specialty medical provider between Dallas and Houston.  Its fortunes began to decline in the late 1990’s as a result of an affiliation with a Wall Street management company.

Mr. Hull was called in by the State District Court in Navarro County to avert a “health care crisis” in the region.  He assumed control of the clinic and in 16 months accomplished a major turnaround – saving the clinic through a restructuring that included severing ties with the Wall Street management company; installing a new business and compensation model as well as a physician recruitment program; and returning the governance of the clinic to physician management.

The court found that MACA’s value increased by approximately $15 million during Mr. Hull’s 16-month tenure.  Thereafter, MACA was sold to Trinity Mother Francis Hospital Group.  Currently, it is known as “Trinity Clinic Corsicana and remains one of the prominent rural specialty clinics in Texas.

Atlanta Associates (Atlanta Suburbs and South Texas) – the sponsor of a series of Atlanta real estate partnerships formed in the 1980’s in which a number of prominent families from Mexico invested in Atlanta area land projects.  Subsequently, some of the Mexican investors recovered a multi-million dollar judgment against the sponsor.

When collection efforts bogged down, Federal District Judge Barefoot Sanders of Dallas imposed a receivership and asked Mr. Hull to bring order to the chaos.

Mr. Hull assumed management control of 10 real estate projects valued at $44 million.  He installed a new business plan for each, retained the services of a major real estate developer, arranged funding for each project and generally oversaw its successful turnaround.

This project resulted in $90 million in net proceeds (after paying the developer’s fee) – more than double the value prior to Mr. Hull’s involvement.

Liberte Investors (REIT – National Holdings) – in a New York bankruptcy proceeding, the business found itself in a bad position when its assets diminished to a point below its debt level.  Its leading equity holders asked Mr. Hull to intervene on their behalf.  As a result, the REIT’s unit value increased from $0.50 per share to $2.50-- a 500% added value.
